Terms of Service

1. Services

SGC Tech AI FZCO ("SGC", "we", "us", "our") provides Odoo implementation, platform subscription, and operations retainer services as described on our website and in the applicable Statement of Work (SOW) or service agreement.

2. The Three-Layer Model

Our services are structured as a three-layer model:

  • Layer 1 — Implementation: One-time configuration, migration, and deployment. Cannot be purchased without an active Platform Subscription.
  • Layer 2 — Platform Subscription: Mandatory monthly service including managed hosting, AI credits, compliance updates, security, and support.
  • Layer 3 — Operations Retainer: Optional monthly retainer for ongoing improvements and custom work.

3. Pricing and Payment

  • All prices are in AED (UAE Dirham), exclusive of 5% VAT.
  • Implementation fees are payable per milestone: 30% on kick-off, 30% on UAT start, 40% on go-live.
  • Platform Subscription fees are invoiced monthly in advance or annually with a discount.
  • Operations Retainer fees are invoiced monthly and subject to a 6-month minimum commitment with 60 days written cancellation notice.
  • Late payments may result in service suspension after 15 days past due.

4. Client Responsibilities

You agree to:

  • Provide timely access to relevant staff, systems, and information
  • Review and approve deliverables within agreed timeframes
  • Maintain the confidentiality of any credentials or access provided
  • Comply with all applicable laws in your use of the services

5. Intellectual Property

Upon full payment, you own all configuration, custom code, and deliverables created specifically for your engagement. SGC retains the right to use general methodologies, processes, and non-client-specific intellectual property developed during the engagement.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. We sign NDAs on request. This obligation survives the termination of our agreement.

7. Limitation of Liability

To the maximum extent permitted by law, SGC's total liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of data or business interruption, even if advised of the possibility.

8. Termination

Either party may terminate the Platform Subscription with 60 days written notice after the minimum commitment period. SGC may suspend services for non-payment with 15 days notice. Upon termination, client data will be exported and provided within 30 days.

9. Governing Law

These terms are governed by the laws of the United Arab Emirates (UAE). Any disputes shall be resolved through amicable negotiation, and if unresolved, through the courts of Dubai, UAE.
